These Terms of Service (“Terms”) govern your access to and use of the website located at https://wagnerprep.com/ (the “Site”) and any tutoring, test preparation, college admissions advising, academic support, communications, and related offerings provided by Epic Mentoring LLC, doing business as Wagner Prep (“Company,” “we,” “us,” or “our”) (collectively, the “Services”).
By accessing the Site, submitting a form, booking a consultation, scheduling a session, enrolling in a class, or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Site or Services.

2. Eligibility; Minors
The Services are intended for individuals who are at least 18 years old. Minors may use the Services only with the knowledge, consent, and involvement of a parent or legal guardian.
If you are a parent or legal guardian enrolling a minor, you represent and warrant that:
You have legal authority to do so; and
You accept these Terms on the minor’s behalf and are responsible for all payments and compliance.
3. Services Provided
Wagner Prep provides educational services, which may include:
SAT and ACT tutoring and test preparation
Small-group SAT classes
College admissions advising
K–12 academic tutoring
Practice tests and performance diagnostics
We may modify, update, or discontinue aspects of the Services at any time.
4. Scheduling and Attendance
Sessions are scheduled by mutual agreement or through our systems.
Sessions begin and end at the scheduled time.
Late arrival does not extend the session.
You are responsible for maintaining accurate contact and availability.
Failure to attend a scheduled session does not eliminate payment obligations.
5. Fees, Billing, and Payment
Fees are disclosed at the time of booking, enrollment, or purchase.
Private tutoring is billed hourly.
A valid payment method may be required on file.
Invoices may be issued on a recurring basis and charged shortly thereafter.
Late or failed payments may result in suspension of Services.
6. Cancellations and Rescheduling
Client Cancellations:
At least 24 hours’ notice is required.
Late cancellations or no-shows may be charged in full.
Company Cancellations:
If we cancel, we will offer rescheduling, credit, or a comparable solution where appropriate.
Group Classes:
If minimum enrollment is not met, we may cancel or adjust the class and offer an alternative of equal or greater value.
7. Refunds
Wagner Prep offers a full money-back guarantee within the first calendar month of lessons.
Outside of this policy or where not required by law, all sales are final.
8. Educational Disclosures; No Guarantees
We do not guarantee:
Specific SAT/ACT scores
Grade improvements
Admissions or scholarship outcomes
Results depend on factors outside our control, including student effort and external conditions.
9. Recordings and Materials
Sessions may be recorded for quality, training, or internal use.
All materials—including recordings, lesson plans, diagnostics, and resources—remain the property of Epic Mentoring LLC DBA Wagner Prep unless otherwise stated.
10. Acceptable Use
You agree not to:
Use the Services unlawfully
Interfere with Site functionality
Copy or distribute materials without permission
Attempt unauthorized access
Violations may result in termination.
11. Intellectual Property
All content and materials are owned by Epic Mentoring LLC DBA Wagner Prep and protected by law.
You may use materials for personal educational purposes only. Redistribution or commercial use is prohibited without written consent.
12. Privacy
Use of the Services is also governed by our Privacy Policy.
13. SMS/Text Message Communications

14. Disclaimer of Warranties
Services are provided “AS IS” and “AS AVAILABLE.”
We disclaim all warranties, express or implied, including fitness for a particular purpose and non-infringement.
15. Limitation of Liability
To the fullest extent permitted by law:
We are not liable for indirect or consequential damages
Total liability is limited to amounts paid in the 3 months prior to the claim
16. Indemnification
You agree to indemnify and hold harmless Epic Mentoring LLC DBA Wagner Prep from claims arising out of:
Your misuse of the Services
Your violation of these Terms
Your violation of any law or third-party rights
17. Non-Solicitation
You agree not to hire or solicit any Company employee or contractor outside of Wagner Prep during your engagement without written consent.
18. Termination
We may suspend or terminate Services for:
Non-payment
Policy violations
Conduct that interferes with service delivery
Termination does not waive outstanding payment obligations.
19. Governing Law
These Terms are governed by the laws of the State of New York.
Any disputes will be handled in a court of competent jurisdiction in New York, unless otherwise required by law.
20. Changes to These Terms
We may update these Terms at any time. Continued use of the Services constitutes acceptance of the updated Terms.
21. Miscellaneous
Entire Agreement: These Terms + Privacy Policy = full agreement
Severability: Invalid provisions do not affect the rest
No Waiver: Enforcement delays are not waivers
Assignment: You may not transfer rights without consent
